Terms of Use (Premium Sellers and their Buyers)
Your use of the platform Cleantech Mart and services and tools are
governed by the following terms and conditions (“Terms of Use”) as
applicable to the Cleantech Mart including the applicable policies which are
incorporated herein by way of reference of the other policies on the website.
By mere use of the Cleantech Mart, You shall be contracting with Idealers B2B
Private Limited, the owner of the Platform. These terms and conditions
including the policies constitute Your binding obligations, with Cleantech Mart.
1. User Account
1.1. To become a registered
User(s) (buyer/ vendor) of the Site a detailed procedure has been made
available which is for the convenience of User(s) so that they can easily use
the website.
1.2. User(s) can become
registered User(s) by filling an on-line registration form on the Site by
providing the required information (including name, contact information,
details of User(s) business, etc.)
1.3. Clean Tech Mart will
establish an account (“Account”) for the User(s) upon successful
registration and will assign a user alias (“User ID”) and password
(“Password”) for log-in access to the User(s)’s Account. Clean Tech
Mart may at its sole discretion assign to User(s) upon registration a web-based
email or messaging account (“Email Account”) with limited storage space to send
or receive emails or messages. Users will be responsible for the content of all
the messages communicated through the account.
2. Vendor/ Sellers Rights and
Obligations
As a vendor/seller, the
seller agree to fulfil the following additional obligations outlined in this
clause. Unless as otherwise provided in this clause, “you” or “your” shall only
be referred to vendors/sellers
2.1. If you wish to sell the
items on the platform, you shall become a vendor by choosing a subscription
plan and completing the Registration process. Further you shall list the items
by providing photo/description of the items you wish to offer and the price for
which you wish to offer it. The pertinent information, images or videos used in
the response must accurately reflect the quality and condition of your items.
The vendors/sellers shall solely be responsible for the content displayed on
the platform including the existence, availability, functionality, fitness for
purpose, legality, quality, appearance and safety of the item offered.
2.2. As a registered seller, you
may put item(s) for sale on the Platform in compliance with the Policies, which
are incorporated by reference into these Terms of Use and Terms and Conditions as
on website. You must be legally permitted to sell the item(s) listed for sale
on the Platform. You must guarantee that the listed items do not infringe on
other parties’ intellectual property, trade secrets, or other proprietary
rights, as well as their publicity or privacy rights. Listings may only include
written descriptions, graphics, and images that explain the item for sale. All
listed products must be placed in the proper category on the Platform. To
ensure that sales are fulfilled successfully, all advertised items must be kept
in stock.
2.3. Vendors must agree to the
Terms and Conditions for displaying products and its information as provided on
the website.
2.4. As a registered seller, you
represent that you own the requisite trade licences.
2.5. Tax Liability
a. As a Seller/Vendor, it is
solely your responsibility to determine whether you are required to charge or
remit any taxes to the relevant tax authority on any transaction agreements you
enter into.
b. If you are required to
charge any GST, you shall include such GST in your amount (as specified in your
listing), and you must issue tax invoices to your buyers if required by the
law.
c. You are solely responsible
for fulfilling any reporting obligations that may arise under tax laws of
India.
2.6. IDEALERS
B2B PVT LTD (Cleantech Mart) hereby notifies Food (packaged) vendors that all
food items listed for sale on this site must possess valid FSSAI (Food Safety
and Standards Authority of India) certification. It is mandatory for vendors to
ensure that all food products comply with FSSAI regulations and standards
before being made available for sale on this platform.
2.7. Failure
to comply with this requirement may result in legal action, including but not
limited to termination of the agreement between the respective vendor and IDEALERS
B2B PVT LTD (Cleantech Mart) and any associated liabilities.
2.8. By
continuing
to list food items for sale on this platform, the respective vendors acknowledge
and agrees to abide by the aforementioned FSSAI certification requirement.
3. Process to buy from Cleantech Mart
3.1.
Product Selection and Quantity: Buyers shall select products and quantity (Minimum
order Quantity) and add them to the cart.
3.2.
Check Delivery Date: Buyers shall verify the delivery date by entering their pin code to
ensure delivery feasibility.
3.3.
Cart Review or Checkout: Buyers can review the items in their cart or proceed to checkout.
3.4.
Billing and Shipping Information: At checkout, buyers shall provide billing
details and shipping address.
3.5.
Choose Shipping Courier: After entering billing and shipping details, buyers can select a
shipping courier based on rates and availability, facilitated by integrated
Shiprocket services.
3.6.
Payment Selection: Buyers shall choose their preferred mode of payment (COD, QR Code &
UPI, Credit & Debit).
3.7.
Place Order: Once
the payment is completed, buyers shall place the order. They receive a confirmation
email from the platform detailing order information and payment method.
3.8.
Consignment Update: Upon receiving the consignment, vendors update the buyer through the
messaging app in their dashboard.
4. Process of seller after order placement
4.1. Confirmation Email on Order
Placement: Upon
placement of an order by the buyer, the vendor shall receive a confirmation
email regarding the order receipt.
4.2. Vendor Dashboard: All the orders shall be displayed
on the vendor dashboard and the vendor can access the Dashboard by clicking the
Red Button Named “Go to Dashboard”.
4.3. From the dashboard, the vendor can
navigate to the Orders section and check all orders received.
4.4. View and Edit Order Details: On the orders page, the vendor can
click the “eye icon” under the “Action Tab” to view and edit order details, using
this the vendor can:
· Change the order status;
· Download or print the invoice;
· Update the status to shipped once
the item is shipped.
4.5.
3rd Party Logistics (Shiprocket Services): For ease of transportation and
delivery, Cleantech Mart has tied up with Shiprocket or any other 3rd
party Logistics as the vendor may find suitable. The vendor is required to open an individual
account on shiprocket.com/ 3rd party logistics’ website in order to
utilize Shiprocket’s/ their services. Cleantech Mart (by IDEALERS B2B PVT LTD)
bears no responsibility for the transportation of the ordered products. Subsequently,
the vendor may input product details, including:

The orders are ready for shipping
once all the information has been filled.
4.6.
To ensure the timely and efficient delivery of products, the Vendor is
at liberty to select any courier service for shipping items to the Buyer’s
location, notwithstanding the platform’s partnership with Shiprocket for
logistical support. The Vendor shall bear any variances in shipping costs. The
platform, Cleantech Mart by IDEALERS B2B PVT LTD, is not liable for any
discrepancies in shipping rates provided by Shiprocket or any other courier
service chosen by the Vendor.
4.7.
If necessary, the vendor can post a remark on his dashboard’s messaging
service to be sent to the buyer. The
vendor has the option to upload any files in the (jpg, jpeg, gif, png, pdf,
doc, or docx) format that the buyer needs to receive in order to confirm
dispatch.
4.8.
Following completion of the process, the vendor’s dashboard displays the
status as shipped. The vendor and buyer receive an additional message informing
them of this change in status.
4.9.
A completion report will be supplied by Shiprocket after the cargo is
delivered. The vendor must upload a screenshot of the same to the customer.
4.10. After the purchase, the buyer will
be provided with a 7-day grace period during which they can submit any claims
or concerns regarding the products they have received. This grace period allows
customers to thoroughly inspect their purchases and ensures that any issues can
be promptly addressed by our customer service team.
4.11. Payment Cycle: If the buyer does not submit any
refund/return claim within 7 days after the delivery of the product, the buyer
will be ineligible for a return/refund. Subsequently the seller/ vendor shall
be eligible to receive payment for the order. Cleantech Mart by IDEALERS B2B
PVT LTD ensures that payment for the vendors sales (less Cleantech Mart fees)
is safely paid into your bank account every 8 days. In your (Seller’s) account, you can examine
your deposited balance. You are able to receive payment for the order 8 days
after it is delivered.
5. Relationship between the Parties
5.1. The relationship between vendors,
buyers, and the platform shall be principal to principal. Each party
acknowledges and agrees that they are independent entities engaging in
transactions facilitated by the platform. The platform serves solely as a
medium for the exchange of goods and services between vendors and buyers. The
platform does not act as an agent, representative, or partner of either vendors
or buyers. Any transactions conducted through the platform are solely between
the vendor and the buyer, and the platform assumes no responsibility or
liability for the quality, delivery, or any issues arising from such
transactions. Vendors and buyers agree to indemnify and hold harmless the
platform and its affiliates, directors, officers, employees, and agents from
any claims, damages, or liabilities arising out of or related to their
transactions conducted through the platform.
5.2. By using the platform, vendors and
buyers expressly acknowledge and agree to abide by the principal-to-principal
relationship outlined in this clause.
6. Force Majeure
Under no circumstances
shall Cleantech Mart by Idealers B2B Pvt Ltd be held liable for any delay or
failure or disruption of the goods or services delivered through the Site
resulting directly or indirectly from acts of nature, forces or causes beyond
its reasonable control, including without limitation, Internet failures,
computer, telecommunications or any other equipment failures, electrical power
failures, strikes, labour disputes, riots, insurrections, civil disturbances,
shortages of labour or materials, fires, flood, storms, explosions, Acts of
God, natural calamities, war, governmental actions, orders of domestic or
foreign courts or tribunals or non-performance of third parties.
7. Indemnification
7.1. User(s) hereby agree to
indemnify and save Idealers B2B Private Limited, its affiliates, directors,
officers and employees harmless, from any and all losses, claims, liabilities
(including legal costs on a full indemnity basis) which may arise from their
use of the Site (including but not limited to the display of User(s) information
on the Site) or from User(s)’s breach of any of the terms and conditions of
this Agreement.
7.2. User(s) hereby further
agree to indemnify and save Idealers B2B Private Limited, its affiliates,
directors, officers and employees harmless, from any and all losses, claims,
liabilities (including legal costs on a full indemnity basis) which may arise,
directly or indirectly, as a result of any claims asserted by Third Party
Rights claimants or other third parties relating to products offered or
displayed on the Site.
7.3. User(s) hereby further
agree that Idealers B2B Private Limited is not responsible and shall have no
liability for any material posted by other User(s) or any other person,
including defamatory, offensive or illicit material and that the risk of damage
from such material rests entirely with the User(s). Cleantech Mart reserves the
right, at its own expense, to assume the exclusive defense and control of any
matter otherwise subject to indemnification by any User(s), in which event such
User(s) shall cooperate with Cleantech Mart in asserting any available
defences.
8. Limitation of Liability
In no event shall Idealers B2B
Private Limited be liable for any indirect, punitive, incidental, special,
consequential damages or any other damages resulting from:
· the use or the inability to use the
Services or Products
· unauthorized access to or alteration
of the user’s transmissions or data
· breach of condition, representations
or warranties by the sellers of the Products
· any other matter relating to the
services including, without limitation, damages for loss of use, data or
profits, arising out of or in any way connected with the use or performance of
the Platform or Service. Idealers B2B Private Limited shall not be held
responsible for non-availability of the Cleantech Mart during periodic
maintenance operations or any unplanned suspension of access to the Cleantech Mart
website. The User understands and agrees that any material and/or data
downloaded at Cleantech Mart is done entirely at Users own discretion and risk
and they will be solely responsible for any damage to their device or loss of
data that results from the download of such material and/or data. To the
maximum extend that is permissible under law, Cleantech Mart by Idealers B2B
Private Limited liability shall be limited to an amount equal to the Products
purchased value bought by You. Idealers B2B Private Limited shall not be liable
for any dispute or disagreement between then users/buyers.
9. Cleantech Mart Cancellation and Refund
Policy
Return &
Exchange Window
Products
purchased from Cleantech Mart can be returned or exchanged within 10
days of the purchase date.
To be eligible,
items must be unused, in their original packaging, and in the same condition as
received.
How to
Initiate a Return or Exchange
To start a
return or exchange, please email us at support@cleantech-mart.com and
respective seller’s mail ID with your order number, details of the item(s) you
wish to return or exchange, and the reason for your request along with photos
and videos of the product.
Return and
Refund policies are specific to the Sellers, so please read their individual
policies. Food items do not have return policy.
Our team will
guide you through the return process and provide a return shipping label if
applicable.
Refund
Processing Time
Once we receive
your returned item and verify its condition, your refund will be processed
within 7 business days.
The refund will
be credited to your original method of payment. Depending on your payment
provider, it may take an additional 2-7 business days for the amount to reflect
in your account.
Additional
Notes
Returns
initiated after 10 days from the purchase date are not eligible for refund or
exchange.

10. Dispute Resolution
In the event of a dispute arising from this agreement or related to the transaction between the Buyer and Vendor or Cleantech Mart, the parties agree to seek resolution through mediation before resorting to arbitration or litigation. The arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996, and the venue for such arbitration shall be [City/State], India. The arbitration proceeding shall be in English language. The decision of the arbitrator shall be final and binding on both parties.
